Pharmacy Chain 36.6 faces bankruptcy proceedings

Russia-Based Pharmacy Chain 36.6 has had bankruptcy proceedings initiated against it by pharmaceutical distributor Protek in an attempt to recover debts owed by the retail giant. On 4 August Protek filed papers with the Arbitration Court of Nizhny Novgorod recognising the debtor

TDE Pharmacy - part of the Pharmacy Chain 36.6 network - as insolvent. Protek has also declared its intention to file further bankruptcy orders against other Pharmacy Chain 36.6 divisions, in order to regain RUB300 million (USD9.63 million).
Problems concerning debt between the two companies began in May 2008. An accumulation of debt led to Protek terminating its supply to the retail chain in November 2008, and filing numerous lawsuits at the time in order to reclaim the money. At the start of 2009, debts owed by Pharmacy Chain 36.6 to Protek were reported as RUB730 million (USD23.43 million). As of 11 August 2009, over 140 lawsuits have been filed by Protek. Around RUB400 million (USD12.84 million) has been repaid so far through Pharmacy Chain 36.6's manufacturing unit Veropharm. Protek claims to have tried negotiating with the retail chain with limited success and as a result has taken stronger action. Pharmacy Chain 36.6, however, believes that bankruptcy is unlikely and that debts will be immediately paid.

Wal-Mart on Kopeika

The American retail giant Wal-Mart is said to be interested in acquiring the Russian Kopeyka discount chain. It is reported that the company made a preliminary offer to Kopeyka’s owner, Nikolay Tsvetkov in June 2009. It is thought that Mr Tsvetkov has not yet accepted the offer but that he is likely to do so in August. The retailer is estimated to be worth up to $630m. According to reports in the press, Wal-Mart is interested in obtaining a 100% stake in the retailer, but the possibility of Mr Tsvetkov’s retaining a minority stake is also being considered. Neither of the parties would comment on the reports. Interestingly, in April 2009 Wal-Mart held talks with another Russian retail chain, Lenta, on the acquisition of a 51% stake but it withdrew from the negotiations. On the other hand, the X5 Retail Group and Magnit showed interest in purchasing Kopeyka, but neither succeeded in concluding a deal.Wal-Mart operates 7,000 stores in 15 countries around the world, whereas Kopeyka owns a chain of 528 discounters all over Russia.

Investimenti italiani in Russia

Per finanziare le esportazioni e gli investimenti italiani in Russia il sistema bancario italiano mette a disposizione oltre 3,7 miliardi. E' il plafond del settore creditizio per le imprese che vogliono operare nel paese, che negli ultimi anni e' cresciuto a ritmo sostenuto, anche grazie a un settore bancario in rapida espansione e con alti tassi di rendimento (il Roe e' passato dal 17,8% nel 2003 al 22,7% nel 2007).

I finanziamenti in essere verso la Russia sono passati da 2 miliardi di dollari a fine 2005 a 25 miliardi di stock a settembre 2008. In Russia le banche italiane sono presenti nella federazione con i due principali gruppi bancari, con una rete di oltre 130 filiali sul territorio. Intesa Sanpaolo ha costituito nel 2003 la prima banca a capitale interamente italiano, Zao Banca Intesa. Unicredit e' dal 2005 nel mercato locale con Zao Unicredit Bank, oggi la piu' grande banca internazionale, la decima per assets.

Costituire una società in Russia

Costituire una società o aprire un ufficio di rappresentanza in Russia può diventare un processo lungo e laborioso se lo si affronta senza conoscere i meccanismi che ne stanno dietro.
La prima cosa da fare è sicuramente capire che tipo di società costituire, sulla base delle proprie esigenze e convenienze. Da un lato, in Russia, vi sono le società di capitali come le OOO (corrispondenti alle Srl) e ZAO / OAO (assimilabili alle SPA). Ma è anche frequente che le società straniere costituiscano degli uffici di rappresentanza o semplici filiali.
Importante è poi capire gli aspetti fiscali, contabili e di gestione delle diverse forme societarie, che cambiano notevolmente a seconda che si scelga di costituire una entità legale o meno.

Infine, l’aspetto che potrà richiedere maggiore attenzione è quello relativo al processo di accreditamento e registrazione. Le autorità russe richiedono una serie di documenti da parte della società che intende aprire un ufficio o un’attività produttiva in Russia. Il processo di accreditamento, mediamente, richiede circa due mesi dal momento della consegna dei documenti, che variano in base alla regione o città in cui verrò registrata la società

E’ consigliabile che le società straniere, intenzionate a stabilirsi in Russia, di ricorrere a società di consulenza specializzate nelle costituzione di società e di tutti gli aspetti giuridici e fiscali collegati.
